The Governance and Corporate Affairs Manager is responsible for developing, implementing, and overseeing effective governance frameworks across the holding company and its subsidiaries.
The role ensures compliance with legal and regulatory requirements, strengthens corporate accountability, and supports transparent decision-making to build stakeholder trust within a complex, multi-business environment.
Role Responsibilities:
Leading the review, development, and implementation of the Group’s corporate governance framework.Advising subsidiaries on governance and corporate affairs matters, under the guidance of the Group CLO.Drafting, updating, and maintaining governance policies, delegation of authority, and procedures.Ensuring compliance with all applicable laws, regulations, and industry standards.Monitoring emerging regulatory requirements and recommend enhancements.Identifying, assessing, and mitigating governance-related risks.Preparing and presenting governance-related reports to executive leadership and the Board.Maintaining corporate records, statutory registers, and minute books.Ensuring accurate and timely filing of statutory documents and regulatory disclosures.Liaising with internal departments to coordinate governance and compliance requirements.Engaging with external auditors, regulators, and industry associations.Providing governance support to Board and executive leadership.Facilitating internal and external audits related to governance and compliance.Providing insights into the best practices and emerging governance trends.Delivering guidance and awareness sessions on governance practices across subsidiaries.Requirements:
Minimum 5–10 years of experience in governance and corporate affairs, preferably in Saudi Arabia or the Middle East.Strong background in construction, real estate, or other regulated industries.Bachelor’s degree in Law, Business Administration, Corporate Governance, or related field.Strong understanding of corporate governance frameworks and board operations.Proficient in governance management systems, board portals, and record-keeping tools.Excellent research, analytical, and problem-solving skills.Strong communication and interpersonal skills (Arabic and English).Ability to manage multiple stakeholders and deadlines in a diversified group structure
